The Terms & Conditions governing your use of the STF Capital mobile application.
These Terms are a binding contract between you and STF Capital Private Limited.
They explain who can use the application, the standards of conduct required of
every user, the limits of the financial services offered through the application,
our warranties and the limitations of our liability, and the Zimbabwean
dispute-resolution regime that governs any disagreement. Please read them
carefully. If you do not accept them you must not install, register for or use
the application.

1. Parties & contract formation
These Terms and Conditions (“Terms”) constitute a binding legal contract between:
- STF Capital Private Limited, a private company incorporated in the Republic of Zimbabwe with its registered office at Unit 9, 75 Roberts Drive, Msasa, Harare (“STF Capital”, “we”, “our”, “us”); and
- You, the natural or legal person who installs, registers for or otherwise uses the STF Capital mobile application. Where you register on behalf of a company, partnership or other legal entity, “you” means that entity and you personally warrant that you are authorised to bind it.
You accept these Terms by ticking the acceptance checkbox during registration, by tapping “Submit” on an application, or by using the Application in any way.
2. Defined terms
- “Application” — the STF Capital mobile application published under Google Play identifier
com.stfcapital.appand the iOS build. - “Services” — the financial-services application workflow: lodging, tracking and receiving decisions on insurance bonds, financial advisory engagements and general-insurance products.
- “Content” — any text, image, document, message, personal data or other material you submit through the Application.
- “Privacy Policy” — the Privacy Policy published alongside these Terms.
- “Business Day” — a day other than a Saturday, Sunday or public holiday in Zimbabwe.
3. Eligibility & account registration
- You must be at least eighteen (18) years of age or a legal entity duly incorporated under Zimbabwean or other recognised law.
- You must have legal capacity to enter into a binding contract.
- You must not be subject to any sanctions programme that makes provision of financial services unlawful.
- You must provide accurate, current and complete information during registration.
- You must complete any additional KYC steps required.
STF Capital reserves the right to refuse a registration, to require additional verification or to terminate an account.
4. Account security & credentials
- You are responsible for the confidentiality of your credentials, PIN and biometric unlock.
- Never share credentials. STF Capital will never ask for your password, PIN or one-time codes by email, phone, SMS or in person.
- Notify us without undue delay if credentials are compromised: inquiries@stfcapital.org.
- Any action through your account is deemed to be yours, subject to Zimbabwean fraud-prevention law.
5. Acceptable use
You agree not to:
- use the Application for any unlawful purpose, including money laundering, terrorism financing, sanctions evasion, tax evasion or fraud;
- upload defamatory, obscene, harassing, threatening, discriminatory or privacy-invasive content;
- upload content that infringes third-party intellectual-property rights;
- upload files containing malicious code, executable payloads or exploits;
- impersonate another person;
- reverse-engineer, decompile or disassemble the Application except where expressly permitted by law;
- circumvent rate limits, anti-automation tests, session-expiry rules or RLS policies;
- scrape, harvest or extract data in bulk other than your own account data;
- use the Application to send unsolicited commercial communications to STF Capital personnel;
- interfere with the provision of Services to any other user.
6. Nature of the financial services offered
The Application is an intake and tracking platform for financial-services applications. It is not itself a bank, insurer or investment adviser. STF Capital operates as an insurance-bond broker/advisor, financial advisory firm, and general-insurance intermediary.
The Application is not an offer or solicitation to enter into any financial transaction. Nothing displayed constitutes financial, legal or tax advice. Underwriting and acceptance of every transaction is at the sole discretion of STF Capital or the relevant partner institution. You are responsible for obtaining independent professional advice before acting on any information surfaced through the Application.
7. Application review & underwriting
- Submissions enter internal workflow as “Pending”. An STF employee claims the file, moves it to “Open” and may request clarifications or return for amendment.
- The final decision is always taken by a natural person with appropriate authority. No automated system approves or declines.
- We target a substantive initial response within five (5) Business Days, without warranting it.
- A decision to decline is not appealable in-app; you may submit a fresh application with revised particulars.
8. Your documents & warranties about them
Every document you upload represents and warrants that it:
- is genuine, unaltered (except for unrelated redactions) and current;
- is yours to submit, or you have authority from the rightful holder;
- complies with data-protection consent requirements;
- contains no malicious code or harmful payload;
- does not infringe third-party IP rights.
You grant STF Capital a non-exclusive, royalty-free licence to store, process and transmit the document for (i) assessing your application, (ii) communicating with the partner institution you nominated, and (iii) complying with statutory record-keeping.
9. Fees & payment
- Installing and using the Application is free. Mobile data charges are your responsibility.
- Fees for underlying financial services are set out in the relevant engagement letter or policy document, invoiced separately.
- Taxes charged per Zimbabwean statute (including VAT at prevailing rate).
10. Intellectual property
All IP rights in the Application — source code, UI design, iconography, text, logos, the “STF Capital” trade mark — remain the property of STF Capital or our licensors. Your feedback is welcomed and, unless stated otherwise, treated as non-confidential.
11. Licence to use the application
Subject to compliance with these Terms, STF Capital grants you a personal, non-transferable, non-exclusive, revocable licence to install and use the Application on any compatible device you own or control.
12. Third-party services inside the app
- Supabase, Inc. — managed database and file-storage hosting.
- Google LLC — Firebase Cloud Messaging (push notifications).
- Google LLC — Google Play distribution.
- The partner institution you nominate on any given application.

13. Service availability
- We target high availability but do not warrant uninterrupted service. Planned maintenance announced ≥24h in advance where feasible.
- We may suspend access without notice to protect integrity, prevent fraud, comply with lawful orders or carry out emergency maintenance.
- Supported baseline: Android 7.0 (API 24) and later; earlier versions best-effort.
14. Warranties & disclaimers
Limited warranty. STF Capital warrants that it will provide the Services with reasonable care and skill, in accordance with Zimbabwean law.
Disclaimer. Except for the limited warranty above, the Application and Services are provided “as is” and “as available”. To the maximum extent permitted by law, STF Capital disclaims all implied warranties.
No financial advice. Nothing in the Application is financial, investment, legal or tax advice.
15. Limitation of liability
- Total aggregate liability, in contract, delict or otherwise, is limited to the greater of (i) total fees paid under a signed engagement letter in the preceding 12 months, or (ii) US$100 or Zimbabwean-dollar equivalent.
- In no event will STF Capital be liable for indirect, incidental, consequential, special, punitive or exemplary damages, including loss of profits, goodwill, business opportunity, data or data-reconstruction costs.
- Nothing excludes liability that cannot lawfully be excluded (death or personal injury from negligence, fraud, etc.).
16. Indemnity
You agree to indemnify STF Capital and its personnel against third-party claims arising from (a) your breach of these Terms; (b) your Content; and (c) your violation of law or third-party rights.
17. Suspension & termination
- STF Capital may suspend or terminate your account with immediate effect on reasonable belief of breach, fraud, sanctions, or protection of other users.
- We will, where feasible, notify you and give reasonable opportunity to respond.
- On termination, your licence ends. Surviving provisions: §§8–10, 14–16, 21–23.
18. Your right to close your account
You may close your account at any time via the in-app Profile screen or by emailing inquiries@stfcapital.org. Closure takes effect on the next business day. Statutory retention periods (AML, insurance) apply per the Privacy Policy.
19. Force majeure
Neither party is liable for failure caused by events beyond reasonable control: acts of God, war, terrorism, civil unrest, governmental action, strikes, epidemics, floods, fires, extended power outages or nationwide internet disruption. If a force-majeure event persists more than ninety (90) days, either party may terminate without liability.
20. Changes to these Terms
We update these Terms as law or operations change. Version/Effective date fields at the top change, the Application re-prompts for acceptance at next sign-in after a material change, and a changelog is maintained at the bottom of this page.
21. Notices
- Notices from STF Capital to you may be given via the Application, by email to your address on file, or by post.
- Notices from you to STF Capital must be in writing to inquiries@stfcapital.org or by post to §1. Effective when received.
22. Governing law & dispute resolution
- These Terms are governed by and construed under the laws of the Republic of Zimbabwe.
- Disputes are first addressed by direct negotiation within thirty (30) days of written notice.
- Failing that, referred to mediation under the Rules of the Commercial Arbitration Centre of Zimbabwe; costs shared equally.
- Failing resolution, parties submit to the exclusive jurisdiction of the courts of Zimbabwe sitting at Harare.
23. General provisions
- Entire agreement. These Terms, together with the Privacy Policy and any signed engagement letter, constitute the entire agreement.
- Severability. Invalid or unenforceable provisions are severed; the rest continues.
- No waiver. Failure to exercise a right does not waive it. Waivers must be in writing.
- Assignment. You may not assign without consent. STF Capital may assign to an affiliate or successor on notice.
- Relationship. No partnership, joint venture, agency or employment is created.
- Language. Drafted in English. Translations for convenience only; English text controls.
